Ley de Instituciones de Crédito
Artículo 27 Bis 3.
Durante la operación de la institución de banca múltiple organizada y operada por el Instituto para la Protección al Ahorro Bancario de acuerdo con lo previsto en la presente Sección, se podrán realizar los siguientes actos:
I.Transmitir las acciones representativas del capital social de la institución de que se trate a otra institución de banca múltiple autorizada o a una sociedad controladora de un grupo financiero al que pertenezca una institución de banca múltiple, en cuyo caso deberán fusionarse ambas sociedades previa autorización de la Comisión Nacional Bancaria y de Valores en los términos del artículo 27 de esta Ley, o
II.Transferir los activos y pasivos a otra u otras instituciones de banca múltiple autorizadas para organizarse y operar con tal carácter o bien, transferir los activos a cualquier persona física o moral que esté en posibilidad legal de adquirirlos, conforme a lo señalado en el artículo 194 de esta Ley.
El Instituto para la Protección al Ahorro Bancario garantizará el importe íntegro de todas las obligaciones a cargo de la institución de banca múltiple organizada y operada por el propio Instituto y, en adición a esto, éste podrá proporcionarle apoyos financieros a aquélla mediante el otorgamiento de créditos. El Instituto para la Protección al Ahorro Bancario y la institución de que se trate podrán pactar las condiciones de los créditos que el propio Instituto otorgue en términos de este artículo, por lo que éstos no estarán sujetos a lo dispuesto por el Apartado C de la Sección Primera del Capítulo II del Título Séptimo de esta Ley.
